1. Service Description

baguette, based in Berlin, Germany, provides a web-based budget and expense tracking application (the "Service") that allows users to log, categorize, and analyze their financial transactions using natural language input.

The Service includes features for tracking spending, categorizing expenses, viewing financial summaries, and managing personal budgets. baguette reserves the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

Early Access: The Service is currently in early access and available by waitlist invitation only. During this phase, the Service is provided "as is" and features may be added, modified, or removed as we continue development. By using the Service during early access, you acknowledge that it may contain bugs or incomplete features.

2. Account Terms

To use baguette, you must:

  • Be at least 16 years of age (if you are under 18, you may need parental or guardian consent depending on your country of residence)
  • Provide accurate and complete registration information
  • Maintain the security of your account credentials and be responsible for all activities under your account
  • Not share your account with others or allow unauthorized access
  • Notify baguette immediately of any unauthorized use of your account

You are responsible for all content and activity that occurs under your account. baguette reserves the right to refuse service, terminate accounts, or remove content at its sole discretion.

3. User Obligations

When using the Service, you agree to:

  • Use the Service only for lawful purposes and in accordance with these Terms
  • Not attempt to gain unauthorized access to any portion of the Service
  • Not use the Service to transmit any malicious code, viruses, or harmful content
  • Not interfere with or disrupt the Service or servers connected to the Service
  • Not attempt to reverse engineer, decompile, or disassemble any part of the Service
  • Not use automated systems or software to extract data from the Service without baguette's written permission
  • Not impersonate any person or entity or misrepresent your affiliation with any person or entity

Violation of these obligations may result in immediate termination of your account and legal action.

4. Intellectual Property Rights

The Service and its original content, features, and functionality are owned by baguette and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain ownership of any financial data and content you enter into the Service. By using the Service, you grant baguette a limited license to use, store, and process your data solely for the purpose of providing the Service to you.

You may not copy, modify, distribute, sell, or lease any part of the Service or included software, nor may you reverse engineer or attempt to extract the source code of that software, unless laws prohibit these restrictions or you have baguette's written permission.

5. Limitation of Liability

TO THE EXTENT PERMITTED BY APPLICABLE LAW, BUDGET APP AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your use or inability to use the Service
  • Any unauthorized access to or use of baguette's servers and/or any personal information stored therein
  • Any interruption or cessation of transmission to or from the Service
  • Any bugs, viruses, or similar issues transmitted to or through the Service by any third party
  • Any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the Service
  • Financial decisions or actions taken based on information provided by the Service

TO THE EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

baguette does not warrant that the Service will be uninterrupted, secure, or error-free, nor does it make any warranty as to the accuracy or reliability of any information obtained through the Service, to the extent permitted by applicable law.

These limitations apply only to the extent permitted by German and EU law. Mandatory statutory liability (such as for intent, gross negligence, or personal injury) remains unaffected.

6. Termination

baguette reserves the right to terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or contact baguette to request account deletion.

All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

baguette will make reasonable efforts to provide you with access to your data for a limited period following termination, but baguette is not obligated to retain your data after termination.

7. EU Consumer Rights

If you are a consumer in the European Union, you have certain rights under EU law that cannot be waived by these Terms.

Right of Withdrawal:

For digital services, you may have a right to withdraw from your purchase within 14 days of signing up. However, if you begin using the Service during this period, you may lose this right. By using the Service, you expressly request that baguette begins providing the Service immediately and acknowledge that you will lose your right of withdrawal once the Service has been fully performed.

Consumer Protection:

You benefit from mandatory consumer protection laws in your country of residence. Nothing in these Terms affects your statutory rights as a consumer.

Alternative Dispute Resolution:

If you are not satisfied with how baguette has handled any complaint, you may refer your complaint to the European Commission's Online Dispute Resolution (ODR) platform at: https://ec.europa.eu/consumers/odr

8. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Germany, without regard to its conflict of law provisions.

The courts of Berlin, Germany shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.

EU Consumer Exception:

If you are a consumer in the European Union, you may also bring proceedings in the courts of your country of residence. Furthermore, you benefit from any mandatory provisions of the law of the country in which you are resident.

Notwithstanding the foregoing, baguette may seek injunctive or other equitable relief to protect its intellectual property rights in any court of competent jurisdiction.

baguette's failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

9. Changes to Terms

baguette reserves the right to modify or replace these Terms at any time at its sole discretion. If a revision is material, baguette will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at baguette's sole discretion.

By continuing to access or use the Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you must stop using the Service.
